1. Acceptance of Terms

By accessing or using the PplePlus Human Resource Management (HRM) application (“PplePlus”, “Application” or “Service”), you agree to be bound by these Terms of Use (“Terms”), our Privacy Policy, and any other applicable policies issued by IOT Kenya Limited (“Company”, “we”, “us”, or “our”). If you do not agree with any part of these Terms, you may not access or use the Service.

2. User Eligibility

You must be:

• At least 18 years of age or legally authorized to use the platform on behalf of a legal entity;
• An employee, administrator, or authorized user under a subscription agreement with IOT Kenya Limited or its partners.

By using PplePlus, you represent that you meet the above criteria.

3. Account Registration and Access

Users may be required to register or be registered by an administrator to access the Service. You agree to:

• Provide accurate, complete, and current information;
• Maintain the confidentiality of your login credentials;
• Be responsible for all activities under your account.

We reserve the right to suspend or terminate accounts that violate these terms or compromise system integrity.

4. Permitted Use

You may use PplePlus only for lawful internal HR-related purposes in accordance with your organization’s subscription agreement. Prohibited uses include (but are not limited to):

• Unauthorized access or use of other users’ data;
• Reverse engineering, decompiling, or tampering with the system;
• Using the service for any fraudulent, abusive, or harmful purpose;
• Circumventing security or access controls.

5. Data Ownership and Confidentiality

All employee data entered into the system remains the property of the subscribing organization.

IOT Kenya Limited will treat such data as confidential and will not disclose it except as required to provide the service, comply with legal obligations, or with the client’s written consent.

6. Subscription and Payment Terms

Use of PplePlus may be subject to a subscription or license fee as outlined in your organization's agreement with IOT Kenya Limited. Non-payment may result in suspension or termination of access.

7. Intellectual Property

PplePlus, including its design, features, software code, and trademarks, is the intellectual property of IOT Kenya Limited. You are granted a limited, non-exclusive, non-transferable right to use the application as per these Terms. You may not copy, distribute, or modify any part of the system without prior written consent.

8. Availability and Support

We strive to maintain reliable service availability. However, we do not guarantee that the Application will be available at all times without interruption. Scheduled maintenance, system upgrades, or technical issues may cause temporary unavailability. Support is provided via email or phone during business hours.

9. Termination

We may suspend or terminate your access to the Service without notice if:

• You breach these Terms;
• You misuse the platform or compromise system security;
• Your organization’s subscription ends or is terminated.

Upon termination, you must cease all use of the application, and we may restrict access to your data in accordance with the applicable agreement.

10. Limitation of Liability

To the maximum extent permitted by law:

• IOT Kenya Limited shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use or inability to use the Service;
• Our total liability under these Terms shall not exceed the amount paid by your organization in the last 12 months.

11. Warranties Disclaimer

PplePlus is provided on an "as is" and "as available" basis. We do not make any warranties or representations regarding the reliability, accuracy, or fitness for a particular purpose. Use of the system is at your own risk.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising shall be subject to the exclusive jurisdiction of the Kenyan courts.

13. Changes to the Terms

We may update these Terms from time to time. Changes will be posted within the application or on our website. We encourage you to review them regularly.
